Agreement to Terms
These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and AVExtenders ("we," "us" or "our"), concerning your access to and use of the www.avextenders.com website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Site"). You agree that by accessing the Site, you have read, understood, and agreed to be bound by all of these Terms of Use. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF USE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND YOU MUST DISCONTINUE USE IMMEDIATELY.
We reserve the right, to make changes or modifications to these Terms of Use at any time and for any reason. We will alert you about any changes by updating the "Last updated" date of these Terms of Use, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms of Use to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms of Use by your continued use of the Site after the date such revised Terms of Use are posted.
Intellectual Property Rights
The Site is our proprietary property and all code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of the United States, foreign jurisdictions, and international conventions. The Content and the Marks are provided on the Site "AS IS" for your information and personal use only. No part of the Site and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever. Content, marks, and photography may be made available for commercial-use to partners who resell or distribute our products only.
The Adopted Trademarks HDMI, HDMI High-Definition Multimedia Interface, HDMI trade dress and the HDMI Logos are trademarks or registered trademarks of HDMI Licensing Administrator, Inc. in the United States and other countries.
Provided that you are eligible to use the Site, you are granted a limited license to access and use the Site and to download or print a copy of any portion of the Content to which you have properly gained access solely for your personal, non-commercial use. We reserve all rights not expressly granted to you in and to the Site, the Content and the Marks.
Shipping
AVExtenders carries AVExtenders products as well as networking products available through this website. Your order from AVExtenders will ship by FedEx. Packages can be tracked using your FedEx tracking number by visiting the FedEx web site. All orders are shipped standard ground unless next-day or second-day service is specified on the order shipping page. Both next- and second-day shipping methods are at higher rates than standard ground shipping. Orders are shipped during business hours Monday—Friday.
Payment
AVExtenders accepts Visa, MasterCard and PayPal. We do add credit card surcharges. Open account terms are available to qualifying customers only — please contact your Account Manager or Customer Service for additional information. For products purchased on credit, AVExtenders retains a purchase money security interest under the Uniform Commercial Code as enacted in the State of California until payment in full has been made. In the event payment is not made as required, AVExtenders shall have all the rights and remedies of a secured creditor under the California U.C.C. provisions. You agree to execute financing statements and other documents as AV Extenders may request in order to perfect AVExtenders security interest.
Pricing
Prices and Currency. All prices listed on our website are in USD, unless otherwise stated. We reserve the right to change prices at any time without prior notice.
Price Changes and Errors. We strive for accuracy in product descriptions and pricing. However, we reserve the right to correct any pricing errors and to cancel any orders arising from such errors. If a product is listed at an incorrect price, we may cancel or refuse the order at our discretion, even after the order has been confirmed.
Tax
Sales Tax: Sales tax is assessed AS REQUIRED BY APPLICABLE STATE LAWS. No tax will be assessed to resellers that submit current resale certificates from the appropriate state or to tax-exempt businesses that submit a current tax-exemption form from the appropriate state.
Limited Warranty
AVExtenders Inc. warrants that certain AVExtenders products listed below ("Product(s)") will be free from defects in materials and workmanship under normal use for the time frames listed below (the "Applicable Warranty Period") from the date of purchase. In cases where the customer has provided a configuration, AVExtenders warrants that the construction of product will match the customer-provided specifications. Because AVExtenders cannot control the quality of products sold by unauthorized sellers, this limited warranty applies only to Products that were purchased from AVExtenders or an AVExtenders authorized seller, unless otherwise prohibited by law. AVExtenders products are legitimately sold only by authorized sellers that are required to follow AVExtenders policies, procedures, and quality control standards. AVExtenders reserves the right to reject warranty claims from purchasers for Products purchased from unauthorized sellers, including unauthorized Internet sites.
Applicable Warranty Period(s) Active extenders, switches, converters, PCs and all active electronic devices – 1 Year
What is NOT Covered. This limited warranty does not cover any defects due to normal wear and tear, damage due to misuse, alteration to the Product, power surges, tampering, or negligence. This limited warranty also does not cover any Product which has a defect or damage that is the result of improper or unauthorized repair, modification or alteration. Please note, in the event that any Product has been categorized as "End of Life" and discontinued, all warranties are void from the date in which the Product is determined to be "End of Life." Additionally, all Products provided by AVExtenders, including network electronics, extenders, switches, converters and any other active electronic devices, are covered by the above mentioned warranty. Warranty is subject to change without notice
Remedies. If a claim is made under this limited warranty, and after investigation by AVExtenders, proves to be valid, AVExtenders, at its sole option, will repair or replace the defective Product immediately upon receipt and evaluation of the original Product. AVExtenders can also cross ship replacement Products at a charge, and credit back the original transaction (upon receipt and evaluation of the original Product) in cases where the replacement Product is needed immediately.
Return Material Authorizations. Any product believed to be defective as covered by this limited warranty may not be returned for warranty service without prior authorization from AVExtenders. Any Product returned to AVExtenders for warranty service must be accompanied by a Return Material Authorization (RMA) number. This number is necessary to ensure proper tracking and handling of returned items. RMA numbers are valid for 30 days after the original invoice date of the order and cannot be extended or re-issued. Please note that AV Extenders is unable to accept Products returned for warranty service without an RMA number.
How to Obtain Warranty Service. Purchasers who wish to make a warranty claim based upon a Product defect should contact Customer Service at customerservice@avextenders.com for warranty service assistance and to obtain a Return Authorization (RMA) number. Please note that you will be required to provide a description of any claimed defect(s) and a dated proof of purchase from AVExtenders authorized seller from which the Product was purchased to verify warranty eligibility.
AVExtenders reserves the right to request other information and evidence reasonably required by to verify warranty eligibility. If, after investigation, AVExtenders confirms the Product is under warranty, the remedy will be performed by AVExtenders in accordance with the above heading, "Remedies."
Please note that return freight must be shipped prepaid and we recommend that you insure the package, as you are responsible for risk of loss on all returned packages. We also recommend that you make sure you pack the carton properly for return, as AVExtenders will not issue credit for product damaged en route back to AVExtenders due to poor shipping practices.
LIMITATION OF LIABILITY. THERE ARE NO WARRANTIES WHICH EXTEND BEYOND THOSE STATED HEREIN. ANY IMPLIED WARRANTIES THAT MAY BE APPLICABLE TO PRODUCTS, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, ARE LIMITED IN DURATION TO THE DURATION OF THIS WARRANTY. SOME STATES DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU. UNDER NO CIRCUMSTANCES SHALL AV EXTENDERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES BASED UPON BREACH OF THIS LIMITED WARRANTY, BREACH OF CONTRACT OR STRICT LIABILITY. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU. THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY FROM STATE TO STATE.
Shipping Discrepancies
It is your responsibility to confirm that you received all of the items as indicated on your packing slip. Failure to report shipping discrepancies within five days prevents us from accurately problem-solving the issue, and variances reported after five days will not be credited regardless of circumstance
Export Control
If products are being purchased for purposes of export, you must obtain from the federal government certain export documentation before shipping to a foreign country. In addition, manufacturers' warranties for exported products may vary or be null and void. If you have questions, please inquire.
If you export the products, you must comply with all laws and regulations of the United States, France, and the European Union governing embargoes and sanctions, and obtain all licenses, shipping documentation and authorizations required for the resale, export or re-export of products, and to supply evidence thereof to AVExtenders upon request. You agree that you shall not (i) supply the products to any natural or legal person, organization or entity ("Prohibited Party") that is subject to embargo, sanction, or other similar restrictions, including but not limited to denied parties status, by the United States, France, or the European Union ("Restrictions"), (ii) export or re-export the products to a banned country, or one which is subject to Restrictions, without having obtained all necessary authorizations from French, European or American authorities, (iii) export or re-export the products for the purpose of using them in sectors that are banned or subject to Restrictions (iv) export or re-export to, or engage in financial transactions with, any such party, organization or entity, or to any Prohibited Party, organization or entity with regard to which there is credible reason to believe that they fail to fully comply, or intend not to comply, with the Restrictions.
AVExtenders is not registered with the Directorate of Defense Trade Controls (DDTC), and is not authorized to manufacture or sell products that are controlled by the International Traffic of Arms Regulations ("ITAR"). AV Extenders will not manufacture and/or sell any custom products that are controlled by ITAR, including those products that are designed or modified for military end-use. By placing an order for the quoted item you are certifying that the item is not a defense article controlled by the ITAR.
Limitation of Liability
IN NO EVENT SHALL AV EXTENDERS, ITS SUBSIDIARIES OR AFFILIATES, OR THEIR RESPECTIVE PARTNERS, OFFICERS, DIRECTORS, EMPLOYEES, SHAREHOLDERS, REPRESENTATIVES OR AGENTS (COLLECTIVELY, "AV EXTENDERS") BE LIABLE FOR DIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR INDIRECT DAMAGES (INCLUDING BUT NOT LIMITED TO, LOSS OF DATA, USE OR PROFITS), HOWEVER CAUSED, WHETHER FOR BREACH OF CONTRACT, NEGLIGENCE, OR OTHERWISE, AND WHETHER OR NOT AV EXTENDERS HAS BEEN ADVISED OF THE POSSIBILITY OF ANY SUCH DAMAGES. YOU AGREE THAT AV EXTENDERS MAXIMUM LIABILITY ARISING FROM ANY PRODUCT SOLD BY AV EXTENDERS SHALL NOT EXCEED THE PRICE OF SUCH PRODUCT. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF EXCLUSION OF LIABILITY FOR CERTAIN DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU TO THE EXTENT SUCH JURISDICTION'S LAW IS APPLICABLE TO THIS AGREEMENT.
Returns
If you are not completely satisfied with your purchase, AVExtenders offers a 15 day right of return on most items subject to the terms and conditions identified below.

To return an item, contact Customer Service at customerservice@avextenders.com to obtain a Return Authorization (RMA) number. RMA numbers are valid for 30 days after the original invoice date of the order and cannot be extended or re-issued. We are unable to accept returns without an RMA number.

All returns except those of defective product are subject to a 20% restocking fee, and additional charges for handling or freight are refunded only in cases of defective products.

Return freight must be shipped prepaid, and we recommend that you insure the package, as you are responsible for risk of loss on all returned packages. We also recommend that you make sure you pack the carton properly for return, as AVExtenders will not issue credit for product damaged en route back to us due to poor shipping practices. We do not issue call tags for product returns.

Returned product must be clean, undamaged and complete with all manuals, accessories, documents, and packaging. The items must be in a resalable condition free of any non-removable labels or writing on the product or product packaging, and product labeling must be intact for you to receive credit. The product must also have with it upon return to us a copy of the original invoice or packing slip, and the appropriate RMA paperwork must be completed and in our possession (preferably with a copy enclosed in the box upon return). Products that are received by us that do not meet these conditions will be subject to additional charges and/or will not be processed as returns, and we will attempt to contact you to determine the disposition of these goods prior to their disposal.

If your item is not working properly, please contact customerservice@avextendrs.com for help in troubleshooting your application. In rare cases we do find that we have a defective item, and in that case you can return that item to AVExtenders within 15 days for replacement or repair.

Any item that involves electronic components cannot be returned to us once opened except in cases of manufacturing defects. Products will be evaluated upon return to us to confirm defects prior to completing disposition of the RMA.

For AVExtenders products your right of return covers products that are opened or unopened, and items you are returning because of defects or simply because you changed your mind. There is no right of return for any clearance items or parts identified as being "all sales final" except in cases of manufacturing defects.

Custom products are non-cancelable and non-refundable. Products deemed defective will be replaced or repaired at our sole discretion. Custom products that were ordered incorrectly may be returned for rework at a charge; please realize that the turnaround of these items is subject to our production schedule, and expedite fees may be necessary to provide immediate repair or replacement.

AVExtenders reserves the right to authorize product returns beyond 15 days from the invoice date in some cases. If the product is accepted after 15 days, credit will be issued toward FUTURE PURCHASES ONLY and SOME ADDITIONAL RESTOCKING CHARGES MAY BE APPLIED.

Custom packaged or kitted items provided by AVExtenders can be returned. However, these items are subject to a restocking fee up to 30%. Restocking fees for kitted or custom packaged items are assessed at the time of the return. Condition of items returned and related packaging will be strongly considered. Custom or sourced items included as part of a kit or that are custom packaged are subject to the custom cable or sourced item terms and conditions.

All credits from RMAs must be used within one calendar year of issue
Governing Law & Dispute Resolution
These Terms and any dispute, claim, or controversy arising out of or relating to your use of the Site or any products or services provided by AVExtenders, including but not limited to the interpretation, breach, termination, enforcement, or validity thereof, shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.
Binding Arbitration
Except where prohibited by law, any dispute or claim arising out of or in connection with these Terms or any breach thereof shall be finally resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in Los Angeles County, California, and the proceedings shall be conducted in English. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
Waiver of Class Actions
You and AVExtenders agree that any arbitration shall be conducted only on an individual basis and not in a class, consolidated, or representative action. You acknowledge and agree that you are waiving the right to participate as a plaintiff or class member in any purported class or representative proceeding.
Injunctive Relief
Notwithstanding the foregoing, either party may seek interim or preliminary injunctive relief in a court of competent jurisdiction in Los Angeles County, California, to protect its rights or property pending the completion of arbitration.
Force Majeure
AVExtenders shall not be held liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, governmental actions, labor strikes, lockouts, embargoes, shortages of materials or transportation, acts of terrorism, civil disturbances, electrical outages, or failures of telecommunications or internet service providers.
In such events, AVExtenders obligations under these Terms shall be suspended for the duration of the force majeure event. AVExtenders will make reasonable efforts to notify you of such delays and will resume performance as soon as commercially practicable.
Prohibited Activities
You may not access the Site for any purpose stated below.

Access the site to systematically retrieve, compile, scrape, or pull data, content, or pricing without written permission from us.

Attempt to disable, bypass, or interfere with any security-related features of the Site.

Using scripts, automated tools, or bots to access the Site, data mine content, send comments, or use form submission.

Copy or adapt the Site's code or software, including but not limited to Java, PHP, HTML, CSS, and JavaScript.

Decipher, decompile, disassemble, or reverse engineer any of the code or software found on the Site.

Delete any copyright or other proprietary rights notice from any Content.

Use the Site in a manner inconsistent with any applicable laws or regulations.
